1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between ZEVIQ SOFTWARES PRIVATE LIMITED ("Scholva", "we", "us", or "our") and you, whether you are acting on behalf of an educational institution, as an individual administrator, teacher, or in any other capacity ("you" or "Customer").
By creating an account, accessing the Scholva platform, or clicking "I Agree" on any registration screen, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
We reserve the right to modify these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
2. Account Registration
To use the Scholva platform, you must register for an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account or on behalf of your organisation.
- Promptly notifying us of any unauthorised access or security breach at support@scholva.com.
- Ensuring that all users added to your team (administrators, teachers, staff) are authorised by your organisation and comply with these Terms.
Each account is for a single educational institution unless otherwise agreed in writing. Sharing account credentials across unrelated organisations is prohibited.
3. Acceptable Use
You agree to use the Scholva platform only for its intended purpose of managing educational operations. The following uses are strictly prohibited:
- Using the Service for any unlawful purpose or in violation of applicable regulations, including those governing student data privacy.
- Attempting to gain unauthorised access to any part of our systems, other users' accounts, or third-party systems.
- Uploading, transmitting, or distributing malicious code, viruses, or any software intended to damage our systems.
- Using automated tools (bots, scrapers) to extract data from the platform without our written consent.
- Reverse engineering, decompiling, or attempting to derive source code from the Service.
- Reselling, sublicensing, or otherwise commercialising the Service without explicit written permission.
- Impersonating another user, institution, or Scholva employee.
We reserve the right to suspend or terminate accounts found to be in violation of these provisions without prior notice.
4. Payment Terms
Scholva offers subscription-based pricing. By subscribing, you agree to pay all fees set out in your chosen plan:
- Subscription fees are billed monthly or annually in advance, depending on your selected billing cycle.
- All fees are inclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise on your invoice or pricing plan.
- Payments are processed securely by Razorpay. We do not store card details on our servers.
- Failed payments will result in a grace period of 7 days, after which access may be suspended until outstanding amounts are settled.
- Annual subscriptions are non-refundable except as required by applicable consumer protection law or at our sole discretion.
- We reserve the right to change our pricing with at least 30 days' written notice before the start of your next billing cycle.
5. Intellectual Property
All intellectual property rights in the Scholva platform, including but not limited to software, design, trademarks, documentation, and algorithms, are owned by ZEVIQ SOFTWARES PRIVATE LIMITED or its licensors. Nothing in these Terms transfers any intellectual property rights to you.
You retain full ownership of all data, content, and records you upload to or generate within the platform ("Customer Data"). You grant Scholva a limited, non-exclusive licence to process Customer Data solely to the extent necessary to provide the Service.
You may not use our brand name, logos, or trademarks without prior written consent. Feedback or suggestions you provide about the Service may be used by us without obligation or compensation to you.
6. Termination
Either party may terminate the agreement with 30 days' written notice. Scholva may terminate or suspend access immediately if:
- You materially breach these Terms and fail to remedy the breach within 14 days of written notice.
- You use the Service in a way that endangers the security, integrity, or availability of the platform.
- You fail to pay outstanding fees after the grace period has expired.
- Required by applicable law or regulatory authority.
Upon termination, your access to the Service will cease. We will retain your Customer Data for 30 days following termination and will make it available for export during that period. After 30 days, all Customer Data will be permanently deleted unless we are required by law to retain it.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- Scholva's total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
- Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, even if advised of the possibility of such damages.
- We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. The Service is provided "as is" and "as available".
Nothing in these Terms limits liability that cannot be excluded by law, including liability for fraud, gross negligence, death, or personal injury caused by our negligence.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity, or termination, shall be subject to the exclusive jurisdiction of the competent courts in India.
If you are located outside India, mandatory local consumer protection laws may also apply and are not affected by this clause.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
